Undertaking of Confidentiality
This Undertaking of Confidentiality (“Undertaking”) is made and executed as of _____ [day] _______________ [month] __________ [year],by the undersigned,____________________,an employee/director/contractor of ____________________ [Supplier].
WHEREAS,the undersigned acknowledges that the undersigned has become familiar with or has known or will have a chance to know or become familiar with certain information owned and provided by Valmont Industries,Inc.(“Valmont”) for the providing a service or the development and manufacturing of products,and
WHEREAS,The undersigned acknowledges that the Technical Information and the Confidential Information (as defined below) regarding the technologies,processes,formulae,compositions,improvements,devices,know-how,inventions,discoveries,concepts,ideas,designs,methods,trade and business secrets and information owned and provided by Valmont for providing a service or manufacturing products are very unique and valuable to Valmont.
WHEREAS,The undersigned acknowledges that the Intellectual Property Rights (as defined below) owned and provided by manufacturing Products as referred in the Agreement are very important and valuable to Valmont.
NOW THEREFORE,the undersigned acknowledges and promises as below:
1.No disclosure
The undersigned acknowledges and promises to keep all Technical Information and all Confidential Information owned and provided by Valmont which the undersigned has obtained from working for ____________________ [Supplier] in confidence.The undersigned shall not disclose,directly or indirectly,the Technical Information or the Confidential Information to any other persons or use for their own account or for the benefit of any third party by any means,including tangible means or intangible means.
2.For the use of providing a service or the production of products
The undersigned acknowledges and promises that the Confidential Information owned and provided by Valmont which the undersigned has obtained from working for ____________________ [Supplier] shall only be used for the purpose of providing a service or the manufacturing of products as requested by Valmont.
3.No Infringement of Intellectual Property Rights
The undersigned warrants that the undersigned will not engage in any activities infringing the Intellectual Property Rights (Intellectual Property as defined below) owned and provided by Valmont which the undersigned has obtained from working for ____________________ [Supplier].In case of any breach,the undersigned shall be liable for all civil and criminal liability under the relevant laws.
